SEC sustainability reporting Nigeria

SEC sustainability reporting in Nigeria applies capital-market oversight to the country's adoption of IFRS S1 and IFRS S2. This page explains who the SEC circular covers, what it asked entities to prepare and how that work connects to the FRC timetable.

What does the SEC require on sustainability reporting in Nigeria?

The SEC requires covered capital-market entities to prepare for IFRS S1 and IFRS S2 on the FRC adoption timetable. Its role is to monitor preparedness and compliance among the entities it regulates.

The SEC circular of 23 September 2026 directed covered entities to submit an implementation plan and anticipated challenges. It did not create a different sustainability standard from the FRC's.

Which companies are covered by SEC ESG disclosure requirements?

The circular addresses every public company and every significant public interest capital-market operator. The latter category includes entities performing clearing, settlement, trading or data functions in the capital market.

The SEC names exchanges, central securities depositories, clearing houses and trade repositories as examples. A company should confirm its status from the circular and its regulator rather than infer coverage from its size alone.

What did the SEC sustainability circular require in the implementation plan?

The plan had to cover governance, gaps, timelines, data systems, controls, assurance, training, the expected first reporting year and implementation challenges. It was a preparedness document, not the sustainability disclosure itself.

Gap assessmentDifferences between current practice and IFRS S1/S2

How is the SEC's role different from the FRC's role?

The FRC adopts the reporting standards and sets Nigeria's national roadmap, while the SEC supervises relevant capital-market entities. A public company may therefore answer to both bodies for different parts of the same reporting transition.

The FRC amended roadmap sets the adoption phases. The SEC circular applies that timetable to its regulated population.

When does mandatory SEC sustainability reporting begin?

Covered public-interest entities report for accounting periods beginning on or after 1 January 2028. The reporting period matters, so a non-calendar year-end company should not assume its first mandatory period ends in 2028.

The SEC circular repeats the FRC timetable: voluntary adoption runs through periods ending no later than 31 December 2027, public-interest entities begin from 2028 and SMEs from 2030.

How should a listed company prepare its reporting records?

A listed company should establish owners, reporting boundaries, collection dates, evidence requirements, calculation controls and review status before the first mandatory period begins. The output is only defensible if each figure can be followed back to its source.

Emvert organises bill and spreadsheet-upload inputs for current Scope 1 and Scope 2 reporting, with the factor and version recorded behind each supported figure. It does not file through an SEC or FRC portal.

What should you do after reading the SEC circular?

Confirm whether the entity is covered, preserve the submitted implementation plan and turn its commitments into an operating reporting calendar. Then check the FRC readiness requirements because the SEC plan does not replace them.
