SEC sustainability disclosure for listed companies.

If your company is listed on the NGX, this is the requirement that reaches you first — and the financial year it reports on is closer than the filing date suggests.

Why the SEC gets there first

The SEC regulates the Nigerian capital market, and its concern is the information available to investors. Sustainability disclosure reached listed companies before the wider corporate population for the same reason financial reporting standards did: the people most exposed to an information gap are the people buying and holding your securities.

For a listed company this is not a new category of obligation so much as an extension of an existing one. You already produce a governed, dated, assured set of statements to a defined structure on a fixed timetable. The sustainability disclosure is another such document, prepared to the same standard of care, and increasingly expected to be published alongside the financial statements rather than months later.

What a listed company's disclosure contains

Structured around the same four pillars as the FRC framework, because both rest on IFRS S1 and S2.

  1. Governance disclosures the board must makeWhich body or committee has oversight, how responsibilities are reflected in terms of reference, how it determines whether appropriate skills are available, how often it is informed, and how it oversees the setting of targets and monitors progress. This is a description of your actual governance, so it must match your minutes.
  2. Strategy and the effect on your business modelThe sustainability and climate risks and opportunities that could reasonably be expected to affect your prospects, over what time horizons, and their current and anticipated effects on your business model, value chain, strategy and financial position. For a listed company this is the section investors read most closely.
  3. Climate resilienceIFRS S2 requires an assessment of the resilience of your strategy to climate-related changes, developments and uncertainties, using an approach commensurate with your circumstances — which for most listed filers means some form of scenario analysis, with the method disclosed.
  4. Risk management integrationHow you identify, assess, prioritise and monitor these risks, and how that connects to the enterprise risk management framework your audit committee already oversees.
  5. Metrics, targets and the basis of preparationScope 1, 2 and 3 greenhouse gas emissions measured in accordance with the GHG Protocol, the approach used, the emission factors and global warming potential values applied, any targets and progress against them, and the judgements and estimation uncertainties that materially affect the figures.

Scope 2: location-based comes first

How it sits alongside the annual report

The direction of travel internationally is toward sustainability disclosures being published at the same time as, and referenced from, the financial statements. That has practical consequences for a listed company well before it becomes a hard requirement.

It means the sustainability data has to close on the same timetable as the financial close — which is considerably faster than most sustainability teams are used to working. It means the audit committee sees both together. And it means the figures have to survive the same kind of questioning, from the same kind of people, as the financial ones.

Companies that treat the first cycle as a communications exercise discover this the hard way in year two. Companies that build it as a reporting process from the start find that year two is mostly a rerun.

What changes when disclosure becomes mandatory

A voluntary sustainability report A mandatory disclosure
Contents Whatever you choose to highlight A defined set of disclosures, with omissions explained
Basis Often unstated Stated: standard, method, factors, judgements and assumptions
Evidence Rarely retained in a testable form Every figure traceable to a source that survives scrutiny
Timing When it is ready On the reporting timetable, moving toward the financial close
Consequence of error Reputational Regulatory, and visible to the market

Questions

Does the SEC file it for us, or do we submit it?

Filing remains the company’s own act, through the channel the regulator specifies. No software vendor, including us, files on your behalf — be cautious of any that claims otherwise. What good tooling removes is the reformatting, chasing and reconciliation that sit before filing.

We already report to the NGX sustainability disclosure guidelines. Is that enough?

It is a genuinely useful head start, particularly on governance and on the habit of reporting. It is not the same document: the ISSB-based requirements are more prescriptive about the basis of preparation, about Scope 3, and about connecting sustainability information to financial position and performance. Expect to extend rather than replace.

What if a material figure is not available in time?

The standards contemplate this and require you to disclose the fact, the reason, and what you are doing about it, rather than omit it silently. An acknowledged gap with a remediation plan is a far better disclosure than a confident number you cannot evidence.

Who signs it?

Sustainability disclosures form part of general purpose financial reporting, which means they attract board-level responsibility in the same way the financial statements do. Establish your sign-off chain before the first cycle, not during it.

File with confidence, before the deadline files you.

Companies that start now collect a full clean year before they ever have to file. Companies that start late reconstruct one — and that is the expensive part.
