A sustainability-linked facility prices against a target. The margin steps down if you hit it and up if you miss. That structure only works if the starting point can be tested by someone independent — otherwise the borrower sets their own exam.
So the first thing a lender’s team does is not read your ambition. It is test your baseline: how it was measured, on what boundary, using which factors, and whether anyone independent has looked at it. A target measured from a baseline that cannot be tested is discounted, sometimes to nothing.
This is why an unassured baseline is the most common blocker at this stage, well ahead of anything to do with how ambitious the target is. Getting the measurement right is not the sustainability part of green finance. It is the finance part.
DFIs — the development finance institutions that are a major source of long-tenor capital for Nigerian companies — apply their own environmental and social performance standards on top of anything a commercial lender asks. The IFC Performance Standards are the most widely used reference, and most other DFIs align to them or to something close.
Those standards go considerably beyond emissions: labour and working conditions, resource efficiency and pollution prevention, community health and safety, land acquisition and resettlement, biodiversity, indigenous peoples, and cultural heritage.
The relevant point for a reporting programme is that the underlying data overlaps substantially. An organisation that has built the governance, the measurement discipline and the evidence trail for its sustainability disclosure has built most of what a DFI appraisal will ask for. Companies that treat the two as separate projects do the work twice.
They answer different questions. A green bond funds specific eligible projects and requires use-of-proceeds tracking and reporting for the life of the instrument. A sustainability-linked loan funds anything and prices against entity-level targets. If you have identifiable green capex, the bond route is often cleaner; if you are improving across the business, the linked structure fits better.
For a green bond, effectively yes — the market expects an independent opinion on the framework. For a sustainability-linked facility, verification of the performance targets is standard. Budget for both time and fee.
The margin steps up, which is the designed consequence and not a default. What causes real damage is missing a target you had no plan to hit, because the next lender reads the history. Set targets you can evidence a route to.
The same underlying data, yes, and that is the efficiency. Lenders typically want more detail on targets, plans and use of proceeds than a regulatory disclosure contains, so expect a supplementary pack drawn from the same source rather than a second measurement exercise.
A summary of a regulation is not the regulation. These are the primary documents this page is based on.
