The terms on which Emvert is licensed: what the subscription includes, what each party is responsible for, what happens to your data, and what happens at renewal or termination.
These terms, together with the order form, the data processing agreement, and any written variation signed by both parties.
The Emvert platform as made available to you, together with onboarding and support as described in your order form.
All data you or your users put into the Service, including activity data, calculations, evidence documents, narrative content and disclosures.
The period stated on the order form, ordinarily twelve months, together with any renewal period.
An individual you permit to use the Service, including your own staff, your advisers and your assurance provider where you grant them access.
A non-exclusive, non-transferable right for your Authorised Users to use the Service for your own internal business purposes, at the tier stated on your order form, for the Subscription Term.
Where you have licensed the Firm tier, that internal business purpose expressly includes preparing disclosures for your clients, in separate client workspaces.
Access to the Service, onboarding for your first reporting cycle, updates released during the Subscription Term, and support as described on your order form.
Reconstruction of historic reporting years, bespoke development, and any advisory work on materiality, boundary or strategy. Each is scoped and quoted separately before any work starts.
Resell or sublicense the Service other than as the Firm tier permits, reverse engineer it, or use it to build a competing product.
Emvert calculates from the data you provide. We are not responsible for the accuracy of Customer Data, and the Service does not constitute professional, accounting, legal or assurance advice.
Preparing and submitting any regulatory filing remains your act. Emvert produces the disclosure and the evidence behind it; it does not file on your behalf.
Keeping credentials secure, managing your users' access, and telling us promptly if you believe an account has been compromised.
Using the Service in accordance with applicable law, including data protection law in respect of any personal data you put into it.
You own your Customer Data. Nothing in this Agreement transfers ownership of it to us.
We will not use your Customer Data for any purpose other than providing and supporting the Service to you. In particular, we will not use it to build benchmarking products, market research or training datasets without a separate written agreement.
You may export your full dataset — figures, calculations, factor versions and evidence documents — at any time during the Subscription Term, in a structured, commonly used format. That right does not depend on your account being in good standing.
On termination we will make your data available for export for a period stated in the data processing agreement, and then delete it on the schedule set out there. We will not hold your data hostage to a commercial dispute.
We aim for high availability and will tell you in advance about planned maintenance. Where your order form includes a specific availability commitment and a service credit regime, those terms apply and take precedence over this section.
Support is provided in Nigerian working hours at the level stated on your order form. Priority and dedicated support are available on the Listed and Firm tiers respectively.
Fees are stated and invoiced in Naira. This is a permanent commercial position, not a default that changes on renewal.
Annually in advance unless your order form says otherwise. Fees exclude VAT and any other applicable taxes.
The Subscription Term renews for successive twelve-month periods unless either party gives written notice before the end of the then-current term, with the notice period stated on your order form.
Any change to fees at renewal is notified in writing in advance of the renewal date, with enough notice for you to decide not to renew.
We own the Service and everything in it other than your Customer Data. You own your Customer Data. Neither party acquires rights in the other’s intellectual property beyond the licence expressly granted here.
We warrant that the Service will perform materially as described in our documentation, and that we will provide it with reasonable skill and care. We do not warrant that use of the Service will result in a compliant filing, because that depends on the data you enter, the judgements you make and the requirements of your regulator.
Each party’s aggregate liability under this Agreement is limited to the fees paid in the twelve months preceding the claim, except for liability that cannot be limited by law, and except in respect of a party’s indemnity obligations and breaches of confidentiality. Neither party is liable for indirect or consequential loss.
Either party may terminate for material breach that is not remedied within thirty days of written notice, or immediately if the other becomes insolvent.
On termination your right to use the Service ends, your export window opens as described above, and any fees accrued to the date of termination become payable.
This Agreement is governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction — save that either party may seek injunctive relief in any competent court.
Before either party commences proceedings, both agree to escalate the dispute to senior representatives and to attempt in good faith to resolve it. That is not a formality: most commercial disputes of this kind are resolvable in a meeting.
